1. Who We Are and Acceptance

1.1 Operator. The AyurvedaNest website, web app and mobile apps (the "Platform") are operated by AyurvedaNest, registered in Braga, Portugal ("AyurvedaNest", "we", "us"). Contact: hello@ayurvedanest.org.

1.2 Binding agreement. By creating an account, starting a free trial, making a purchase, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1.3 Read before you buy. These Terms contain an automatic renewal clause (Section 3), a no-refund policy and waiver of the right of withdrawal (Section 4), limits on our liability (Section 7), and disclaimers about service availability (Section 5). You confirm you have read them.

1.4 Eligibility. You must be at least 18 years old and legally able to enter into a contract. Accounts opened by anyone under 18 may be closed without refund.

1.5 Changes to these Terms. We may update these Terms at any time. Material changes are notified via the Platform or email and take effect on posting, or on your next billing cycle where the change affects pricing or renewal. Continued use after the effective date means you accept the updated Terms. If you do not agree, your only remedy is to cancel before the change takes effect.

2. Your Account and Communications

2.1 Accurate details. You must provide accurate, current information, including a working email address you check, and keep it updated.

2.2 You own your account. You are responsible for all activity under your account, including purchases and renewals, whether or not you authorized them. Keep your credentials secure. Accounts are personal and may not be shared or resold.

2.3 Electronic communications. You consent to receive all notices, receipts, renewal reminders and other communications electronically, by email to the address on your account and/or within the Platform. Electronic notices satisfy any legal requirement that a notice be in writing.

2.4 Deemed delivery. A notice is deemed received when we send it to the email address on your account or post it in the Platform, whether or not you open, read or actually receive it. We are not responsible for messages that are not received or seen because of an incorrect or outdated email address, spam or junk filters, promotions tabs, a full inbox, an email provider's blocking or delay, notification settings on your device, or any other cause outside our control. It is your responsibility to whitelist hello@ayurvedanest.org and check your spam folders.

2.5 Non-receipt is not a defense. Failure to receive, open or read any email or notification (including trial-ending, renewal or price-change notices) does not affect the validity of any charge, renewal or obligation under these Terms. Your renewal date and plan status are always visible in your account settings.

3. Subscriptions, Free Trials and Automatic Renewal

3.1 Automatic renewal. SUBSCRIPTIONS RENEW AUTOMATICALLY at the end of each billing period (weekly, monthly, annual or as shown at checkout) at the then-current price, and you authorize us to charge your payment method on each renewal date, until you cancel. The price, billing period and renewal terms are shown at checkout and in your account before you are charged.

3.2 Free trials convert to paid. If you start a free or discounted trial, your subscription converts automatically to a paid subscription at the end of the trial and you will be charged the full price shown at checkout, unless you cancel before the trial ends. Trials are limited to one per person, device, payment method and household. We may refuse, end or charge for trials we reasonably believe are being abused.

3.3 Cancelling is your responsibility. You alone are responsible for managing and cancelling your subscription. Not using the Platform, deleting or uninstalling the app, forgetting you subscribed, not reading emails, or losing access to your email does NOT cancel your subscription. Only a completed cancellation does.

3.4 How to cancel. Cancel at any time in Account Settings > Subscription, or by emailing hello@ayurvedanest.org from your account email. For subscriptions bought through Apple App Store or Google Play, you must cancel through that store's subscription settings; we cannot cancel those for you. To avoid the next charge, cancel at least 24 hours before your renewal or trial-end date. Keep your cancellation confirmation.

3.5 Effect of cancellation. Cancellation stops future renewals. You keep access until the end of the period you have paid for. No refund or credit is given for the remaining part of that period.

3.6 Price changes. We may change subscription prices. New prices apply from your next renewal after we notify you (Section 2.4). If you do not want to pay the new price, cancel before that renewal.

3.7 Changes to features and content. We may add, change or remove features, content, recommendations or tiers at any time. Such changes do not entitle you to a refund, provided the core service you subscribed to remains available.

4. Payments, No Refunds and Chargebacks

4.1 ALL SALES ARE FINAL. Except only where Section 4.6 or mandatory law requires otherwise, all fees are non-refundable, non-cancellable and non-creditable. This includes trial conversions, renewals (monthly or annual), upgrades, reports, assessments, consultations and any one-time purchase. We do not give refunds, credits or prorations for any reason, including:

  • forgetting to cancel, or cancelling late

  • not using, or rarely using, the Platform

  • not receiving, seeing or reading any email or notification

  • dissatisfaction, change of mind or change of circumstances

  • issues with your device, operating system, browser, internet connection, storage or settings

  • features or content being changed (Section 3.7)

  • account suspension or termination for breach of these Terms

4.2 Immediate access and waiver of withdrawal right. Our services are digital content and digital services supplied immediately on purchase. At checkout you will be asked to tick a box confirming that you (a) expressly request immediate access and performance, including during the 14-day withdrawal period, and (b) acknowledge that you thereby lose your right of withdrawal under Article 16(m) of Directive 2011/83/EU and Decreto-Lei n.º 24/2014, as amended. We confirm this consent in your purchase receipt. Where a right of withdrawal still applies to a digital service under mandatory law, any refund is reduced in proportion to the period already supplied.

4.3 App store purchases. If you subscribe through Apple App Store or Google Play, that store processes your payment and its refund policy applies. We have no ability to issue, approve or reverse refunds for those purchases. Contact the store directly.

4.4 Payment authorization and failed payments. You authorize us and our payment processors to charge all fees, taxes and renewals to your payment method on file, including any updated card details provided by your card issuer. If a payment fails, we may retry the charge and suspend access until payment succeeds. You remain liable for unpaid amounts.

4.5 Chargebacks. You agree to contact us at hello@ayurvedanest.org and allow us 10 business days to resolve any billing concern before disputing a charge with your bank or card issuer. Disputing a valid charge made in line with these Terms is a breach of these Terms. If you do, we may immediately suspend or terminate your account, submit these Terms, your checkout consent, account activity and communications records to your card issuer, and recover any outstanding amounts and the chargeback fees we incur.

4.6 Billing errors and mandatory rights. If we charge you in error (e.g. a duplicate charge, or a charge after a cancellation you can show was completed), tell us within 60 days and we will correct it. Nothing in these Terms removes rights you have under mandatory consumer law that cannot be excluded by contract.

5. Service Availability and Technical Issues

5.1 No uptime guarantee. The Platform is provided on an "as is" and "as available" basis. We do not guarantee it will be uninterrupted, error-free, available at any particular time, or compatible with any particular device. Downtime, maintenance, bugs, slow performance, outages of our hosting, payment or other third-party providers, and app store or operating-system changes may occur and do not entitle you to a refund or credit.

5.2 Your equipment is your responsibility. You are responsible for having a compatible device, a supported and up-to-date operating system and browser, a working internet connection, and the correct permissions and settings. Problems caused by your device, connection, settings, ad-blockers, VPNs, outdated software or third-party apps are not a fault in our service.

5.3 Report problems promptly. If you believe the Platform is not working as described, you must report it to hello@ayurvedanest.org with a description and screenshots within 14 days of first noticing the problem, and give us a reasonable opportunity to investigate and fix it. Our first and primary remedy is to repair or restore the service within a reasonable time.

5.4 Limited remedy. Only if a verified, material fault on our side makes the core service unavailable to you, you reported it under Section 5.3, and we fail to fix it within a reasonable time, are you entitled to the remedies that mandatory law provides (which may include a proportionate price reduction or ending the contract for the affected period). This is your exclusive remedy for service faults. Minor bugs, isolated errors, cosmetic issues or features you find unhelpful are not material faults.

5.5 Data and backups. You are responsible for keeping copies of any information you wish to retain. We are not liable for loss of data, history or progress, except where caused by our gross negligence or wilful misconduct.

6. Content, Acceptable Use and Health Disclaimer

6.1 Ownership and licence. All Platform content, including assessments, reports, recommendations, recipes, text, graphics, software and design, is owned by us or our licensors. We grant you a limited, personal, non-commercial, non-transferable, revocable licence to use the Platform while your account is in good standing.

6.2 You may not: copy, resell, redistribute or publicly share Platform content; share your account; scrape, crawl or use automated tools on the Platform; reverse engineer it; interfere with its security or operation; impersonate anyone; or use it unlawfully.

6.3 Your content. You keep ownership of information you submit (quiz answers, health details, feedback) and grant us a worldwide, royalty-free licence to store and process it to provide and improve the service, as described in our Privacy Policy. You confirm it is accurate and lawful.

6.4 Not medical advice. THE PLATFORM PROVIDES EDUCATIONAL AND INFORMATIONAL CONTENT BASED ON TRADITIONAL AYURVEDIC PRINCIPLES. IT IS NOT MEDICAL ADVICE, DIAGNOSIS OR TREATMENT, AND NO DOCTOR–PATIENT OR PRACTITIONER–PATIENT RELATIONSHIP IS CREATED. Always consult a qualified healthcare professional before changing your diet, exercise, supplements, herbs, oils or medication, especially if you are pregnant, nursing, have a medical condition or take medication. Never ignore or delay professional advice because of something on the Platform. In an emergency, call your local emergency number.

6.5 Your choices, your risk. You use the recommendations, recipes, remedies and practices at your own risk. Check every ingredient for allergies and interactions. Results vary and are not guaranteed.

6.6 Consultations. Online consultations are informational and subject to the same disclaimer. Booked sessions are non-refundable. Missed sessions or cancellations less than 24 hours before the start time are forfeited; one reschedule is allowed with at least 24 hours' notice.

6.7 Third parties. We are not responsible for third-party websites, products, services, payment processors or app stores linked to or used with the Platform.

7. Termination, Liability and Legal

7.1 Termination by us. We may suspend or terminate your account at any time if you breach these Terms, file an unfounded chargeback, abuse trials, or use the Platform unlawfully. No refund is given on termination for breach, and any amounts owed remain payable.

7.2 Disclaimer of warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

7.3 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR USE, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR €50, WHICHEVER IS GREATER.

7.4 What we do not exclude. Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, wilful misconduct or gross negligence, or any other liability that cannot be limited under applicable law.

7.5 Indemnity. You will indemnify us against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your content.

7.6 Governing law and disputes. These Terms are governed by the laws of Portugal. Disputes go to the courts of Portugal, without prejudice to any mandatory right a consumer has to bring proceedings in their country of residence. Consumers may also refer disputes to an approved alternative dispute resolution entity in their country of residence.

7.7 General. If any provision is found unenforceable, it is limited to the minimum extent necessary and the rest remains in force. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may. We are not liable for delays caused by events beyond our reasonable control. These Terms and the Privacy Policy are the entire agreement between us. The English version prevails over any translation.

7.8 Acknowledgment. BY STARTING A TRIAL, SUBSCRIBING OR PURCHASING, YOU CONFIRM THAT: (1) YOUR SUBSCRIPTION RENEWS AUTOMATICALLY UNTIL YOU CANCEL; (2) CANCELLING IS YOUR RESPONSIBILITY; (3) NOT RECEIVING OR READING EMAILS DOES NOT EXCUSE ANY CHARGE; (4) ALL PAYMENTS ARE NON-REFUNDABLE EXCEPT AS SET OUT IN SECTION 4.6; (5) YOU WAIVE YOUR RIGHT OF WITHDRAWAL FOR IMMEDIATE ACCESS TO DIGITAL CONTENT; AND (6) THE PLATFORM IS NOT MEDICAL ADVICE.
