1. Introduction

Welcome to AyurvedaNest, operated by AyurvedaNest.org (hereinafter referred to as "we", "us", "our", or "AyurvedaNest"). These Terms and Conditions govern your access to and use of the AyurvedaNest website and mobile application (collectively, the "Platform"), including all content, functionality, services, and subscription offerings provided on or through the Platform.

By accessing, registering for, or using the Platform, you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. About Our Services

AyurvedaNest provides personalized Ayurvedic wellness assessments, including dosha evaluations, customized wellness reports, and subscription-based access to our wellness application featuring personalized recommendations, content, and guidance based on Ayurvedic principles.

3. Eligibility

You must be at least 18 years of age to use our Platform and services. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Changes to the Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Platform thereafter. We will notify you of material changes through the Platform or via email. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the changes.

5. Account Registration and Security

5.1 Account Creation

To access certain features of the Platform, including subscription services, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your account credentials
Immediately notify us of any unauthorized access to your account

5.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

6. Subscription Services and Free Trials

6.1 Free Trial Period

New users may be offered a free trial period to access our subscription services. Free trial eligibility is determined by us and is limited to one per user. We reserve the right to modify or discontinue free trial offers at any time.

6.2 Automatic Renewal

By subscribing to our services, you acknowledge and agree that your subscription will automatically renew at the end of each billing cycle (monthly or as otherwise specified) unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee.

6.3 Subscription Fees

Subscription fees are stated at the time of purchase and may be subject to change. We will notify you of any fee changes in advance, and such changes will take effect at the start of your next billing cycle after notice is provided.

7. Payment Terms and Non-Refundable Policy

7.1 Payment Authorization

By providing payment information, you authorize us to charge your designated payment method for all fees incurred through your account, including subscription fees, applicable taxes, and any other charges.

7.2 Digital Content and Immediate Access

IMPORTANT: Our services constitute digital content that is delivered electronically and made immediately available to you upon subscription or purchase. By subscribing or purchasing, you explicitly request and consent to:

a) Immediate access to and performance of our digital services, including during any free trial period;

b) The commencement of service delivery before the expiration of any statutory withdrawal period; and

c) The waiver of your right of withdrawal as provided under Article 16(m) of EU Directive 2011/83/EU and Portuguese Law n.º 24/2014, Article 17(1)(m).

7.3 Non-Refundable Payments

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE, including but not limited to:

Initial subscription charges following any free trial period
Recurring subscription renewal charges
One-time purchases of reports or assessments
Upgraded subscription tiers

This non-refundable policy applies regardless of:

Usage of the service after payment
Satisfaction with the service
Change of mind
Failure to cancel before renewal
Technical difficulties on your end
Inability or lack of expertise to use the services

7.4 Legal Basis for Non-Refundable Policy

Our non-refundable policy is legally supported under:

Portuguese and EU Law: According to Article 16(m) of EU Consumer Rights Directive (2011/83/EU), transposed into Portuguese law through Lei n.º 24/2014, Article 17(1)(m), consumers do not have the right of withdrawal for "the supply of digital content which is not supplied on a tangible medium if the performance has begun with the consumer's prior express consent and acknowledgment that the consumer will thereby lose the right of withdrawal."

By accepting these Terms and subscribing to our services, you provide your express consent to immediate performance and acknowledge that you lose your right of withdrawal once you access the digital content.

7.5 Billing Errors

If you believe you have been incorrectly charged, please contact us at hello@ayurvedanest.org within 30 days of the charge. We will investigate legitimate billing errors and issue appropriate corrections.

8. Cancellation of Subscription

8.1 How to Cancel

You may cancel your subscription at any time through your account settings or by contacting us at hello@ayurvedanest.org. Cancellation will take effect at the end of your current billing period.

8.2 Effect of Cancellation

Upon cancellation:

You will retain access to subscription services until the end of your current paid period
No refund will be issued for the remaining portion of your current billing cycle
No further charges will be made to your payment method
You may lose access to premium features and content

8.3 No Partial Refunds

Cancellation of a subscription does not entitle you to a refund or credit for any unused portion of your subscription period.

9. Intellectual Property Rights

9.1 Ownership

The Platform and its entire contents, features, and functionality, including but not limited to all assessments, reports, recommendations, text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof, are owned by AyurvedaNest, our licensors, or other providers of such material and are protected by Portuguese, European, and international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use only.

9.3 Restrictions

You may not:

Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from the Platform
Use any automated system to access or collect data from the Platform
Attempt to decompile, reverse engineer, or discover source code in the Platform
Remove or modify any copyright, trademark, or other proprietary rights notices
Use the Platform for any commercial purpose without our express written consent

10. User-Generated Content

10.1 Your Content

You may be able to submit information, including quiz responses, health information, and feedback (collectively, "User Content"). You retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content to provide and improve our services.

10.2 Content Standards

You agree that all User Content you provide will:

Be accurate and truthful
Not violate any law or regulation
Not infringe any third party's rights
Not contain harmful, offensive, or inappropriate material

10.3 Prohibited Content

You may not submit content that:

Violates any applicable law or regulation
Infringes upon intellectual property rights
Contains viruses or malicious code
Is false, misleading, or deceptive
Promotes illegal activity or harm to others

11. Prohibited Uses

You agree not to use the Platform:

a) In any way that violates any applicable federal, state, local, or international law or regulation

b) To exploit, harm, or attempt to exploit or harm minors in any way

c) To transmit any advertising or promotional material without our prior written consent

d) To impersonate or attempt to impersonate AyurvedaNest, our employees, another user, or any other person or entity

e) To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform

f) To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

g) To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform or any server, computer, or database connected to the Platform

12. Health and Medical Disclaimers

12.1 Not Medical Advice

THE INFORMATION, ASSESSMENTS, AND RECOMMENDATIONS PROVIDED THROUGH THE PLATFORM ARE FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY AND ARE NOT INTENDED AS MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

12.2 Consult Healthcare Professionals

You should always consult with a qualified healthcare professional before making any decisions about your health, diet, exercise, or lifestyle changes. Never disregard professional medical advice or delay in seeking it because of something you have read or accessed through the Platform.

12.3 No Doctor-Patient Relationship

Use of the Platform does not create a doctor-patient or therapist-patient relationship between you and AyurvedaNest or any of its employees, contractors, or affiliates.

12.4 Individual Results May Vary

Results from our assessments and recommendations are based on Ayurvedic principles and traditional wellness practices. Individual results and experiences may vary, and we make no guarantees about specific outcomes.

12.5 Emergency Situations

If you are experiencing a medical emergency, call emergency services immediately. Do not rely on the Platform for emergency medical assistance.

13. Third-Party Links and Services

The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by AyurvedaNest. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services.

14. Data Collection and Privacy

All information we collect through the Platform is subject to our Privacy Policy. By using the Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. Please review our Privacy Policy to understand our data practices.

15. Monitoring and Enforcement; Termination

15.1 Our Rights

We have the right to:

Remove or refuse to display any User Content for any reason
Take appropriate legal action against anyone who violates these Terms
Terminate or suspend your access to all or part of the Platform for any violation of these Terms
Cooperate with law enforcement authorities in investigating alleged unlawful activities

15.2 Termination by Us

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Platform will cease immediately, and any outstanding subscription fees remain due and payable.

15.3 Effect of Termination

Upon termination:

All licenses granted to you under these Terms will immediately cease
You must cease all use of the Platform
No refunds will be provided for any unused subscription period
Provisions of these Terms that by their nature should survive termination shall survive

16. Geographic Restrictions

AyurvedaNest is based in Portugal and provides services to users worldwide. We make no claims that the Platform or its content is accessible, appropriate, or legal outside of Portugal. If you access the Platform from outside Portugal, you do so at your own risk and are responsible for compliance with local laws.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT

WE DO NOT WARRANT THAT:

THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
DEFECTS WILL BE CORRECTED
THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AYURVEDANEST, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR USE
PERSONAL INJURY OR PROPERTY DAMAGE
DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE MAXIMUM AGGREGATE LIABILITY OF AYURVEDANEST FOR ALL CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AYURVEDANEST IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR €50, WHICHEVER IS GREATER.

19. Indemnification

You agree to defend, indemnify, and hold harmless AyurvedaNest, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

a) Your violation of these Terms

b) Your use or misuse of the Platform

c) Your User Content

d) Your violation of any third-party rights, including intellectual property, privacy, or other personal rights

e) Any harm caused to any third party through your use of the Platform

20. Governing Law and Dispute Resolution

20.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

20.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Portugal, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

20.3 EU Online Dispute Resolution

In accordance with EU Regulation 524/2013, the European Commission provides an online dispute resolution platform accessible at: https://ec.europa.eu/consumers/odr/

21. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the sole and entire agreement between you and AyurvedaNest regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

22. Waiver and Severability

22.1 Waiver

No waiver by AyurvedaNest of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

22.2 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect.

23. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

24. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

25. No Third-Party Beneficiaries

These Terms are for the benefit of, and will be enforceable by, the parties only. These Terms are not intended to confer any right or benefit on any third party or to create any obligations or liability of a party to any such third party.

26. Language

These Terms are drafted in English. In the event these Terms are translated into other languages and there is a discrepancy between the English text and the text of any translation, the English text shall prevail.
